1. Acceptance of Terms and Eligibility

These Terms and Agreement govern your access to and use of EZ-FileOrganizer, including the website, account features, embroidery file management tools, Windows Companion features, conversion tools, support services, and related services. By creating an account, starting a trial, purchasing a subscription, or using EZ-FileOrganizer, you agree to these Terms and our Privacy Policy. You must be legally able to enter into a binding agreement in your jurisdiction. If you do not agree, do not use the service.

2. Account Registration and Security

You agree to provide accurate account information, keep your login credentials secure, and promptly update information that changes. You are responsible for activity performed through your account unless caused by a security failure within our systems. You may not share access in a way that bypasses applicable subscription limits or use another person’s account without permission.

3. Free Trial, Subscriptions and Billing

EZ-FileOrganizer may offer a free trial so you can evaluate the service before purchasing. The trial length and any conditions are shown at signup. A free trial does not become a paid subscription unless you actively select a paid plan or otherwise authorize payment. Paid subscription prices, billing periods, taxes, and available plans are shown before purchase. Unless otherwise stated at checkout, paid subscriptions renew automatically for the same billing period until cancelled. We may change future pricing with notice when required by law.

4. Cancellation and Refunds

You may cancel a paid subscription through the account or billing area when that option is available, or by contacting us for assistance. Cancellation stops future renewal charges but does not generally provide a refund for a billing period already paid, except where required by law or where we expressly agree otherwise. Access to paid features may continue through the end of the current paid billing period.

5. Your Embroidery Files and Content

You retain ownership of the embroidery designs, images, PDFs, ZIP files, notes, tags, and other content you upload or add to EZ-FileOrganizer. You are responsible for making sure you own the content or have the necessary license, permission, or legal right to upload, store, organize, convert, process, and use it. To provide the service, you grant EZ-FileOrganizer a limited, non-exclusive permission to host, store, copy, process, generate previews from, convert, organize, transmit, and otherwise handle your content only as reasonably necessary to operate, secure, support, and improve the features you choose to use.

6. Acceptable Use and Intellectual Property

You may not use EZ-FileOrganizer to upload or distribute unlawful, malicious, infringing, deceptive, or harmful content; attempt unauthorized access to accounts or systems; interfere with service operation; introduce malware; abuse automated requests; or violate another person’s intellectual property or privacy rights. The EZ-FileOrganizer name, branding, website, software, interface, documentation, original graphics, workflows, and related intellectual property are owned by EZ-FileOrganizer or its licensors. These Terms do not transfer ownership of our intellectual property to you.

7. File Conversion, Machine Compatibility and Backups

Embroidery file conversion and machine compatibility can vary by design, stitch data, hoop size, color information, machine model, software version, and file format. EZ-FileOrganizer does not guarantee that every converted file will stitch correctly on every machine. You are responsible for reviewing converted files, confirming machine compatibility, and performing appropriate test stitches before production or use on valuable materials. EZ-FileOrganizer should not be your only backup location. You are responsible for maintaining independent backup copies of important files and related data.

8. Service Availability, Changes and Third-Party Services

We may add, change, update, suspend, or discontinue features from time to time and may perform maintenance that temporarily affects availability. We make reasonable efforts to keep the service available but do not guarantee uninterrupted or error-free operation. EZ-FileOrganizer may rely on or connect with third-party services such as payment processors, hosting providers, email providers, analytics services, device software, or other integrations. Those third parties may have their own terms and privacy practices, and we are not responsible for third-party products or services outside our control.

9. Disclaimers, Limitation of Liability and Indemnification

To the fullest extent permitted by law, EZ-FileOrganizer is provided on an as-is and as-available basis. We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. To the fullest extent permitted by law, EZ-FileOrganizer and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost data, embroidery material losses, machine damage, or production delays arising from use of the service. Where liability cannot legally be excluded, total liability for claims relating to the service will not exceed the amount you paid to EZ-FileOrganizer during the twelve months immediately preceding the event giving rise to the claim, unless applicable law requires a greater amount. To the extent permitted by law, you agree to indemnify EZ-FileOrganizer from claims arising from your unlawful use of the service, your violation of these Terms, or content you upload that infringes another person’s rights.

10. Suspension, Termination, Governing Law, Changes and Contact

We may suspend or terminate access when reasonably necessary to protect users, the service, our systems, or third parties; to address suspected fraud, abuse, security threats, or illegal activity; or when you materially violate these Terms. You may stop using the service at any time. Unless applicable law requires otherwise, these Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable United States law, without regard to conflict-of-law principles. We may update these Terms as the service changes or legal, security, or business requirements evolve. The current version will be posted on this page with an updated date.
